Wells DevOps End User Licence Agreement

Version 1.0. Effective 5 September 2026.

1. Who this agreement is between

This End User Licence Agreement (the "Agreement") is a contract between you and Wells DevOps, the business of Dominick Wells, Ottawa, Ontario, Canada ("Wells DevOps", "we", "us", "our").

It governs your use of any plugin published by Wells DevOps on the JetBrains Marketplace (each one, "the Plugin"). As at the effective date above, our published plugins are Ansible Scoped and CloudFormation Scoped. This Agreement also covers any plugin we publish in future, and all updates and new versions of any Plugin, unless that plugin ships with its own separate licence.

Wells DevOps is the licensor. JetBrains s.r.o. ("JetBrains") is not a party to this Agreement and has no obligations under it. JetBrains operates the Marketplace and, for paid plugins, acts as reseller. Your use of the JetBrains IDE and of the Marketplace is governed by your own agreements with JetBrains.

By installing, copying or using the Plugin, you accept this Agreement. If you do not accept it, do not install or use the Plugin.

2. Licence granted to you

Subject to your compliance with this Agreement, we grant you a personal, worldwide, non-exclusive, non-transferable, revocable licence to:

  1. install the Plugin on computers you own or control, or that your employer or client makes available to you; and
  2. use the Plugin for its intended purpose, in a compatible JetBrains IDE, including for commercial work.

If you install the Plugin on behalf of an organization, you confirm that you have authority to accept this Agreement for that organization, and "you" then means that organization.

This is a licence, not a sale. We keep all rights we do not expressly grant here.

3. What you may not do

You may not:

  1. reverse engineer, decompile or disassemble the Plugin, or otherwise try to derive its source code, except to the narrow extent that applicable law gives you a right that cannot be waived by contract;
  2. modify the Plugin, or create derivative works, adaptations or forks of it;
  3. copy, publish, sell, rent, lease, sublicense, distribute or otherwise make the Plugin available to anyone else, alone or bundled with something else;
  4. remove or alter any copyright, trademark or other proprietary notice in the Plugin;
  5. use the Plugin to build a competing product, or extract its data files for use outside the Plugin; or
  6. circumvent any licensing, activation or usage limit in the Plugin.

4. Free and paid tiers

The Plugin may be offered as a free plugin, as a paid plugin, or as a free plugin with paid features.

Free tier. Where the Plugin or a feature is offered at no charge, this Agreement still applies in full, and the disclaimers in sections 9 and 10 apply with particular force.

Paid tier. Any paid tier is sold through the JetBrains Marketplace paid-plugin programme. JetBrains handles ordering, payment, invoicing, taxes, subscription management and refunds under its Marketplace terms and refund policy in force at the time of purchase. We do not process your payment details. A paid licence covers the paid features for the subscription period you have paid for, on the terms shown at purchase. If a subscription lapses or is cancelled, the paid features may stop working, except as covered by any perpetual fallback licence granted at purchase.

5. Ownership

The Plugin, including its code, design, data files, name and branding, is owned by Wells DevOps and protected by copyright and other laws. Your feedback and suggestions are welcome, and we may use them freely without owing you anything.

6. Third-party components

The Plugin bundles or derives data from third-party sources, each licensed under its own terms:

  1. content derived from the Ansible project documentation; and
  2. content derived from the AWS CloudFormation resource specification, by way of the cfn-lint project.

Those third-party licences govern those components, and where they conflict with this Agreement they prevail for those components only. Full attribution and licence texts are included with the Plugin.

7. Data and privacy

The Plugin sends no telemetry. It collects no personal data, gathers no analytics or usage statistics, and transmits nothing about you, your code or your projects to us or to anyone else. It works locally inside your IDE. Any data JetBrains collects through the IDE or the Marketplace is JetBrains' responsibility, under its own privacy policy.

8. Updates and support

We may release updates from time to time, but we are not obliged to release updates, to keep supporting any IDE version, or to keep any Plugin available. Support is offered on a best-effort basis at dominick@wellsdevops.ca and is not a guaranteed service level unless we have agreed one with you in writing.

9. No warranty

Except where section 12 applies, the Plugin is provided "as is" and "as available", without warranty of any kind. To the fullest extent permitted by law, we disclaim all express, implied and statutory warranties and conditions, including merchantability, fitness for a particular purpose, accuracy and non-infringement. We do not warrant that the Plugin will be error free, or that its suggestions, completions or validations will be correct or suitable for your infrastructure. You are responsible for reviewing and testing anything the Plugin produces before you rely on it.

10. Limitation of liability

To the fullest extent permitted by law, and except where section 12 applies:

  1. we are not liable for any indirect, incidental, special, consequential, exemplary or punitive damages, or for lost profits, lost revenue, lost data, business interruption, or the cost of substitute software, however caused and on any theory of liability; and
  2. our total aggregate liability arising out of or relating to the Plugin and this Agreement is limited to the greater of the amounts you actually paid us or paid through the Marketplace for the Plugin in the three months before the event giving rise to the claim, or fifty Canadian dollars (CAD $50).

Nothing in this Agreement excludes liability that cannot lawfully be excluded, including liability for fraud, fraudulent misrepresentation, or death or personal injury caused by negligence.

11. Term and termination

This Agreement starts when you first install or use the Plugin and continues until terminated. You may terminate it at any time by uninstalling the Plugin and deleting all copies. It terminates automatically if you breach it, and on termination your licence ends and you must stop using the Plugin and remove it. Sections 5, 6, 9, 10, 12 and 13 survive termination.

12. Consumer rights

Wells DevOps is registered as a Trader on the JetBrains Marketplace. If you are a consumer, you have rights under mandatory consumer protection law that cannot be limited or excluded by contract, including the consumer law of the European Union and of the EU or EEA member state where you live, and consumer protection law in Ontario. Nothing in this Agreement limits, excludes or affects those rights, including any statutory right of withdrawal, any legal guarantee of conformity, and any remedy for defective digital content. Where a term of this Agreement conflicts with such a right, that right prevails and the rest of this Agreement continues to apply.

13. Governing law and venue

This Agreement is governed by the laws of the Province of Ontario and the federal laws of Canada applicable therein, without regard to conflict of laws rules. The courts sitting in Ottawa, Ontario have exclusive jurisdiction over any dispute arising out of or relating to this Agreement, and the parties submit to that venue. If you are a consumer, this section does not deprive you of the protection of the mandatory law of your country of residence, or of your right to bring proceedings there where that law allows.

The United Nations Convention on Contracts for the International Sale of Goods does not apply.

14. General

This Agreement is the entire agreement between you and us about the Plugin, and replaces any earlier understanding about it. If any term is held unenforceable, the rest stays in force. Our failure to enforce a term is not a waiver of it. You may not assign this Agreement. We may update this Agreement for future versions of the Plugin, and the version published with the Plugin build you install is the one that applies to that install.
